FUNDINVOICE LLP STANDARD BROKERAGE AGREEMENT

Thank you for choosing FundInvoice LLP for your business finance needs. This document constitutes our Standard Brokerage Agreement.
Acceptance of This Agreement
By accessing or using any of the services provided by FundInvoice LLP (“FILLP”), including submitting enquiries via our website, telephone, email, post or in person, or by continuing any form of communication with us or with any third party introduced by us, you confirm that you have read, understood, and agreed to be bound by this Standard Brokerage Agreement (Version 12.0).
If you do not agree to these terms, you must not use our services or continue communications with us.
This Agreement takes effect from the earlier of (i) the date of first use of our services, or (ii) the date you are first provided with a copy of this Agreement, or its availability is made clear to you (such as by publication on our website).
1. Parties:
This Agreement is between FundInvoice LLP (a Limited Liability Partnership registered in England and Wales, partnership number OC387824, VAT registration number 174 7968 50, with a registered office at 29 Gildredge Road, Eastbourne, East Sussex BN21 4RU) hereafter referred to as “FILLP” and you, the company hereafter referred to as the “Customer”.
2. Supply of Brokerage Services
Scope of Services:
FILLP will introduce you to one or more providers (referred to as “Providers”) of finance facilities and/or other services or products (referred to as “Facilities”) based on the details you have provided. Providers may offer finance facilities, or other products and services, according to your requirements.
FILLP does not act as an agent of the Customer or the Provider and does not have authority to bind either party.
3. Agreement Terms
These are the complete terms governing our relationship:
Interpretation: Key definitions and terms are outlined below.
- Agreement: This set of terms and conditions of trade, version 12.0, first published on 27th March 2025.
- Customer: You the company seeking introductions to Providers by FILLP.
- Providers: The finance (or other services or products) provider(s) that may offer Facilities to the Customer.
- Facilities: Any finance facility (or facilities) or other product(s) or service(s) offered by the Provider to the Customer, including replacements, alternatives, additions, or those offered to other parties by Providers because of their association with you.
Fees and Commission:
Our services are provided to you at no direct charge.
You hereby consent to FILLP receiving commission from the Provider upon successful arrangement of any Facilities. Such commission may be one-time and/or ongoing. A breakdown of any commission received by FILLP will be provided upon request.
Additionally, you consent to FILLP paying a portion of any commission to FILLP’s own introducers and to FILLP receiving commission for any further customer the Provider gains because of FILLP’s introductions.
You confirm that you have no objection to FILLP receiving such commission and acknowledge that this may give rise to a conflict of interest, which you agree to waive.
4. Provision of Services:
FILLP will, at its discretion, provide the Customer’s contact details to the Providers and make introductions based on your finance and other needs.
Customer’s Responsibility:
The Customer is responsible for assessing the suitability and creditworthiness of any Providers introduced.
The Customer shall indemnify and hold harmless FILLP, its partners, employees, and agents from and against all claims, liabilities, losses, damages, and expenses (including reasonable legal costs) arising from the Customer’s acts or omissions in connection with any Facility or dealings with any Providers introduced by FILLP.
Where the Facilities relate to business finance, FILLP only provides services to companies (not private individuals, sole traders or partnerships). By proceeding with FILLP, you confirm that you are either a Limited Liability Company, a Limited Liability Partnership (LLP) or a Public Limited Company (PLC).
Limitations of Liability:
FILLP makes no representations or warranties regarding any Providers, or the Facilities offered. No advice or information, whether oral or written, obtained from FILLP, creates any warranty. FILLP has no liability for any acts, omissions, or defaults of the Providers, and our total liability is limited to the amount of any commission received.
Nothing in this Agreement shall exclude or limit liability for fraud, fraudulent misrepresentation, or any other liability that cannot be excluded by law.
5. Data Protection:
FILLP complies with the Data Protection Act 2018 and the UK General Data Protection Regulation (UK GDPR).
Any information you provide may be shared with selected Providers to facilitate the provision of Facilities. You consent to FILLP sharing any information you provide, including any personal data, with selected Providers for this purpose. You confirm that you hold any required consent to share any data that you provide to FILLP for the purpose described above.
By proceeding to share data, you confirm that you agree to our data handling practices. A copy of FILLP’s privacy policy is available upon request or on its website, which outlines how personal data is collected, used, and protected
6. General Terms
Assignment:
You may not assign your rights or obligations without FILLP’s written consent. FILLP may assign, novate, or sub-contract its rights or obligations under this Agreement without notice to the Customer. Any transfer of these rights and obligations remains valid even if FILLP ceases to exist.
Terms:
If any provision of this Agreement is held by a court or other competent authority to be invalid or unenforceable, this does not affect the validity of the remainder of the Agreement.
Governing Law:
This Agreement is governed by English law, and the parties agree to submit to the jurisdiction of the English courts.
Entire Agreement:
This Agreement constitutes the entire agreement between the parties in relation to its subject matter and supersedes all prior agreements, negotiations, and understandings, whether oral or written. No variation shall be effective unless agreed in writing by FILLP.
Notice:
